1. Unit price difference for each kwh means the difference between Buying Grid Electricity Cost and Buying BOOT WHR Electricity Cost per kwh, we could define it as “A”. Sinoma internal control figure over WHR supplied power price is between 5-10% lower than the grid power price.

2. Client doesn’t need concern the project financing works, construction works, operation & maintenance works, all of which will be in BOOT Provider’s scope.

• SINOMA Internal Risk Control & Project Execution

　　To secure Sinoma’s investment earnings, we need to lock the kiln availability or total power generation during the entire cooperation period. We will propose two options:

　　Option 1: regulate the kiln availability in the contract shall be more than 80% (minimum);

　　Option 2: regulate the target power generation during the whole agreed commercial operation period (normally 15 years, which could be discussed later).

　　If the availability or target power generation are not achieved attributable to Client, then corresponding compensation will be made to investor, details could be discussed mutually.　　 

• Project Execution:

　　About the BOOT/BOO project execution, we will adopt EP+C mode. C part we will hand over to the local contractors to execute to avoid any potential troubles, increasing local employment rate and the social benefits.
